Overview

The CHIPS and Science Act was passed with the intent of encouraging investment in the tech sector to help produce more semiconductor chips in the United States. Companies hoping to make use of this federal incentives program will need to partner with the right adviser, as navigating such programs is typically a complicated process and small mistakes could impact a business's eligibility.

Corporate and Finance

Calfee's Corporate and Finance practice group is one of the largest and most prolific in the area, handling a significant number of complex and sophisticated business and financial transactions for clients across the country and globally. The team assists with business formation, complex corporate transactions, corporate governance, capital markets services, and commercial and public finance, as well as with various tax credit, public/private partnerships, economic development and workforce development and incentives programs across Ohio as well as regionally, nationally, and globally.

Government Relations and Legislation

Calfee's Government Relations and Legislation practice is respected for its political savvy and effectiveness, legal expertise, honesty, and deep and broad relationships with all levels of local, state, and federal government on both sides of the political aisle. With experienced government relations lawyers and professionals in Calfee's Washington, D.C., Columbus, Cleveland, and Cincinnati offices, the team is continuously building and strengthening relationships with key lawmakers and decision makers including local and regional nonprofit and quasi-governmental organizations responsible for economic development and incentives, to advocate for our clients and deliver sophisticated solutions to help meet their business goals.

The team takes a multidisciplinary and collaborative approach – partnering with experienced attorneys across practice groups and offices – to assist clients opening or expanding operations in Ohio with structuring key financial arrangements including state and local incentives, leveraging private capital, and navigating federal tax credits, such as those created by the CHIPS and Science Act.

Intellectual Property and Information Technology Law

Calfee's Intellectual Property practice, with more than 40 IP practitioners (more than 30 of whom are registered with the USPTO), is one of the largest in Ohio and is nationally recognized for managing sophisticated patent and trademark portfolios for companies located across the U.S. and for international and multinational corporations. Our IP group has significant experience advising clients on intellectual property-related business strategies and handling patent, trademark, and copyright application preparation and prosecution both in the U.S. and globally; disputes and litigation; agreements; searches and opinions; infringements, trade secret and unfair competition violations; Inter Partes Review (IPR); and issues involving privacy and data rights. We regularly litigate patents in federal district courts around the country and at the International Trade Commission (ITC) in Washington, D.C.

The Information Technology Law team counsels clients across the semiconductor supply chain and helps develop and protect their intellectual property. Our attorneys are particularly experienced in advising technology sector clients in securing, protecting, defending, and enforcing all forms of IP in IT and drafting and negotiating agreements for the full range of transactions through which IP assets in IT are developed, licensed, transferred, or otherwise commercialized.

We currently handle IP for several government agencies (e.g., the Department of Energy and NASA) and have direct experience with government institutions (e.g., Sandia National Laboratory and the National Institute of Standards and Technology) expected to play significant roles in CHIPS programs.

Compliance and Regulatory Services

Calfee's Compliance and Regulatory Services team is focused on assessing and addressing the enterprise risks that our clients face, some of which are more obvious than others, like the ever-evolving rules surrounding the CHIPS and Science Act incentive programs. Because effective compliance programs are not one-size-fits-all, we work closely with clients to customize a program to meet their individual needs, which can include conducting risk assessments, drafting or updating codes of conduct and related policies, and drafting and providing regular training, among other specific services. Our attorneys have extensive experience providing compliance counseling both in the U.S. and abroad, with a particular focus on risks such as fraud, anti-bribery and corruption, sanctions, export restrictions, and intellectual property-related controls, all relevant topics surrounding the CHIPS and Science Act. And our team brings the added benefit of perspective gained from years of representing clients in investigations and defending them in enforcement actions involving those same risks. Our team strives to identify relevant risks and to develop pragmatic solutions for addressing the same, so our clients can better pursue and protect their business goals.

Environmental Law

Calfee's Environment Law group provides clients with comprehensive and strategic advice based on our extensive knowledge and experience counseling clients in multiple business sectors. Our practical understanding allows us to address both immediate and longer-term environmental issues for clients. With significant experience with the Ohio and federal EPA, our attorneys have successfully counseled clients toward compliant resolutions that meet the client’s overall business objectives.

For companies opening or expanding operations in Ohio, our Environmental Law group offers CHIPS and Science Act Environmental questionnaire assistance and NEPA compliance advice and has significant experience providing state and local permitting guidance.
