Stephen represents private equity sponsors and their portfolio companies and other privately owned and publicly traded companies in a wide range of transactions, including mergers and acquisitions, dispositions, co-investments, and corporate governance matters.

Prior to joining Calfee in 2023, Stephen was an Associate in the New York office of a large international law firm.

Experience

• Calfee served as M&A counsel to a private equity firm client managing $1+ billion in committed capital in its acquisition of a security services provider. The $100+ million transaction closed in 2023 and involved a competitive process that closed less than a month from the term sheet signing.
• Represented Lee Equity Partners in its sale of K2 Insurance Services to Warburg Pincus*
• Represented New Mountain Capital in its acquisition of Cumming Group, an international construction consultancy, from Tailwind Capital*
• Represented THL in its acquisition of Intelligent Medical Objects, a healthcare data enablement provider, from Warburg Pincus*
• Represented H.I.G. Capital in its $950 million carve-out acquisition of the distribution business of Avient Corp.*
