Calfee client Covia (NYSE: CVIA), a leading provider of mineral-based and material solutions, recently completed its acquisition of R.W. Sidley’s Industrial Minerals Division. The transaction expands Covia’s product portfolio and offerings in filter media, premium infill sand for athletic fields, and construction materials. Included in the acquisition of Sidley’s silica sand mining operation in Thompson, Ohio, are its quarry and reserves, as well as several buildings, machinery, and equipment. Calfee served as lead counsel for Covia on all aspects of the acquisition.
Covia is a national company headquartered in Northeast Ohio focused on providing high-quality mineral and material products and services for industrial and energy markets. Covia maintains mines across North America, and its logistics network enables access to nearly all major Class One railroads.
R.W. Sidley is a full-service provider of construction materials and supplies. The Ohio-based company’s Industrial Minerals Division provides silica-based products for use in filtration, industrial, and sports applications.
