Kris practices corporate and securities law. He has advised both public and private companies in connection with a broad range of matters, including initial public offerings, follow-on offerings, 144A offerings, cash and stock mergers, proxy contests and tender offers.
He regularly represents investment banks in connection with capital markets transactions, fairness opinions and other engagements. Kris also has counseled various start-up companies and venture capital firms in venture capital financings. A significant portion of his practice involves general corporate work for ongoing public company clients on matters such as SEC compliance, securities and disclosure issues and corporate governance matters.
Kris participated in a panel hosted by TheCorporateCounsel.net and presented on Brexit and the effects on current developments in capital raising. He is a frequent speaker on securities law and corporate governance topics at local and regional continuing legal education seminars. He annually participates in a panel at the RR Donnelly SEC Hot Topics Institute, and he is a past panelist at KPMG LLP’s Audit Committee Institutes. He also is a member of the Board of Advisors of TheCorporateCounsel.net and has authored articles published in Deal Lawyers and The Tax Lawyer.
Kris previously was an associate with Hale and Dorr LLP in Boston, Massachusetts. He joined Calfee in 2004 and became a partner of the firm in 2009.
