Kris practices corporate and securities law. He has advised both public and private companies in connection with a broad range of matters, including initial public offerings, follow-on offerings, 144A offerings, cash and stock mergers, proxy contests and tender offers.
He regularly represents investment banks in connection with capital markets transactions, fairness opinions and other engagements. Kris also has counseled various start-up companies and venture capital firms in venture capital financings. A significant portion of his practice involves general corporate work for ongoing public company clients on matters such as SEC compliance, securities and disclosure issues and corporate governance matters.
Kris is a frequent speaker on securities law and corporate governance topics at local and regional continuing legal education seminars. He recently joined a panel at the 16th annual RR Donnelly SEC Hot Topics Institute, and he was a panelist at the annual KPMG/Calfee seminar. Kris also has authored articles published in Deal Lawyers and The Tax Lawyer.
Kris recently participated in a panel hosted by TheCorporateCounsel.net. The topic of the panel was Brexit and the effects it is having on current developments in capital raising. The panel discussion was moderated by Calfee partner, John J. Jenkins.
Kris previously was an associate with Hale and Dorr LLP in Boston, Massachusetts. He joined Calfee in 2004 and became a partner of the firm in 2009.
